The platform may update/amend/modify these terms of usage from time to time. The user is responsible to check and go through the terms of usage periodically to remain in compliance with these terms before you access platform or avail services made available on the website of the company.
registration and eligibility
By using our services, you agree that you are over the age of 13 years and above. our services are intended for users aged 13 years and above. under 13, you many not use the service. We do not knowingly collect or process personal data of children under 13.
However, a user aged above 13 but below 18, you must obtain verifiable parental or guardian consent on or before accessing the platform or its content or its services. parents/guardians can provide consent by completing the parental consent process during registration. and respective parents/guardians are liable to make sure that the users (aged between 13 to 18) comply with the terms of usage, privacy policies, and guidelines of the company. Users ages 18 or above are allowed use the platform and services, and are allowed to enter into a legally binding and enforceable contract under Indian contract act, 1872. The user while creating an account hereby represents and warrants that all the information provided by the user is current, accurate and complete and that the user will maintain the accuracy and keep the information updated time to time. Use of another user's account information for availing the services is expressly prohibited. If in case it is found that the information so supplied on the platform is inaccurate, untrue, incomplete and not current, the website has the right to suspend or terminate the user's account and restrict/refuse the use of our services by such user in future.
acceptable use

Use the Platform as an emergency service, crisis service, medical service, mental health service, therapy service, counselling service, legal service, financial service, or substitute for qualified professional advice, diagnosis, treatment, supervision, or human support.
Rely on the Platform as the only source of support in situations involving self harm, suicidal thoughts, harm to others, abuse, domestic violence, sexual violence, stalking, threats, medical emergencies, mental health emergencies, or any immediate or potential danger.
Use the Platform to manipulate, pressure, deceive, emotionally exploit, groom, or take unfair advantage of any person, including minors, elderly persons, vulnerable persons, or persons experiencing distress.
Use the Platform to create, simulate, or impersonate another person, professional, company, public figure, medical professional, therapist, emergency responder, or authority figure in a false, misleading, deceptive, or harmful manner.
Use the Platform to generate romantic, sexual, exploitative, or otherwise inappropriate content involving minors, or to contact, groom, exploit, or endanger minors in any manner.
Use the Platform to generate or spread misinformation, fraudulent content, scams, phishing messages, impersonation attempts, fake reviews, fake testimonials, or deceptive communications.
Infringe, violate, or misappropriate the intellectual property rights, privacy rights, publicity rights, confidentiality rights, or other legal rights of any person or entity.
Upload, submit, or transmit personal data, sensitive personal information, confidential information, medical information, financial information, login credentials, or information relating to another person unless you have the lawful right and authority to do so.
Attempt to bypass, disable, interfere with, manipulate, or defeat any safety feature, moderation system, access control, usage limit, security measure, technical protection, or restriction of the Platform.
Reverse engineer, decompile, disassemble, copy, scrape, crawl, harvest, extract, train on, reproduce, resell, sublicense, or otherwise misuse the Platform, Services, models, prompts, outputs, software, APIs, systems, or proprietary technology except as expressly permitted in writing by the Company.
Use automated tools, bots, scripts, or other technical means to access, overload, disrupt, damage, interfere with, or compromise the Platform, Services, servers, networks, accounts, data, or security systems.
Introduce malware, viruses, harmful code, security exploits, or any software or instruction intended to damage, disrupt, monitor, access, or interfere with any system, data, device, account, or network.
Misrepresent your identity, age, authority, affiliation, consent, or eligibility to use the Platform or Services.
Use the Platform or Services in any manner that violates applicable law, regulation, court order, third party rights, these Terms, the Privacy Policy, safety policies, community guidelines, or any instructions issued by the Company.
The Company reserves the right to monitor usage for safety, security, legal compliance, and enforcement purposes, subject to applicable law and the Privacy Policy. The Company may suspend, restrict, or terminate access to the Platform or Services, remove content, preserve records, or report activity to appropriate authorities where it reasonably believes that a user has violated these Terms, created a safety risk, infringed third party rights, or engaged in unlawful, harmful, or abusive conduct.
content ownership and rights
You retain ownership of any content, information, text, audio, images, prompts, messages, feedback, or other materials that you submit, upload, provide, or make available through the Platform, subject to applicable law, third party rights, and these Terms.
The Company owns and retains all rights, title, and interest in and to the Platform, Services, software, systems, models, algorithms, APIs, documentation, designs, trademarks, trade names, prompts, workflows, research, know-how, proprietary technology, and all intellectual property rights connected with the Platform and Services.
Unless otherwise expressly agreed in writing by the Company, all content, responses, messages, voice outputs, text outputs, recommendations, suggestions, reports, data, and other materials generated by the artificial intelligence system, including any content generated by Ira or any other AI feature of the Platform, shall belong to the Company to the maximum extent permitted under applicable law.
Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access, view, use, and download the AI-generated outputs made available to you through the Platform for your personal and lawful use. You shall not claim ownership of, register, commercially exploit, resell, sublicense, reproduce, distribute, or publicly use such AI-generated outputs except where expressly permitted by the Company in writing or under a separate paid, enterprise, or commercial agreement.
You acknowledge that AI-generated outputs may not be unique, exclusive, original, copyrightable, accurate, complete, reliable, or free from third party claims. Similar or identical outputs may be generated for other users. The Company does not guarantee that any AI-generated output will be capable of copyright protection or that you will obtain any ownership or exclusive rights in such output.
You are solely responsible for the content you submit to the Platform and for the manner in which you use, share, publish, or rely upon any AI-generated output. You represent and warrant that you have all necessary rights, permissions, consents, and lawful authority to submit any content provided by you and to use the Platform in accordance with these Terms.
By submitting content to the Platform, you grant the Company and its service providers a non-exclusive, worldwide, royalty-free, sublicensable, and transferable licence to host, store, process, transmit, reproduce, modify, display, analyse, and use such content for the purposes of operating, providing, securing, maintaining, improving, developing, researching, analysing, and supporting the Platform and Services, and as otherwise described in the Privacy Policy.
The Company may use de-identified, anonymised, aggregated, or statistical data derived from use of the Platform for research, analytics, safety, security, product improvement, model evaluation, model development, and service development, provided that such data does not reasonably identify you.
The Company shall not use your private companion conversations, personal messages, or sensitive personal information for public marketing or promotional purposes without your consent, except where such use is anonymised, aggregated, or otherwise permitted under applicable law and the Privacy Policy.
If you provide suggestions, ideas, feedback, corrections, reviews, or recommendations regarding the Platform, you grant the Company a worldwide, perpetual, irrevocable, royalty-free licence to use such feedback for improving, developing, marketing, researching, commercialising, and operating the Platform and Services without any obligation to compensate you.
You shall not copy, modify, reverse engineer, decompile, disassemble, extract, scrape, train on, reproduce, distribute, sell, lease, sublicense, create derivative works from, or otherwise exploit the Company's intellectual property, technology, AI-generated content, models, software, systems, prompts, workflows, APIs, or Services without the Company's prior written permission.
Nothing in these Terms transfers to you any ownership rights in the Company's intellectual property, technology, Services, AI systems, or AI-generated content, except for the limited licence expressly granted to you under these Terms.
Nothing in these Terms transfers ownership of any third party content, open source software, licensed materials, or intellectual property belonging to any third party. Your use of such materials may be subject to separate terms, licences, or restrictions.

By using our platform services, you acknowledge and consent to the collection and use of your personal data as outlined in our Privacy Policy, in compliance with the Information Technology Act, 2000 and applicable data protection laws. The company takes all reasonable steps to protect user data, but is not liable for unauthorized access resulting from user negligence. The User further consents, expresses and agrees that the terms and contents of such Privacy policy is acceptable to the User inclusive of any update/alteration/change made and duly displayed on the website.

THE COMPANY DOES NOT WARRANT, REPRESENT, OR GUARANTEE THAT:
THE PLATFORM OR SERVICES WILL BE UNINTERRUPTED, ERROR FREE, SECURE, TIMELY, OR AVAILABLE AT ALL TIMES.
THE PLATFORM OR SERVICES WILL MEET YOUR PERSONAL, EMOTIONAL, SOCIAL, MEDICAL, MENTAL HEALTH, PROFESSIONAL, OR OTHER EXPECTATIONS OR REQUIREMENTS.
ANY AI GENERATED CONTENT, RESPONSE, MESSAGE, VOICE OUTPUT, RECOMMENDATION, SUGGESTION, OR INFORMATION WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, SAFE, APPROPRIATE, OR SUITABLE FOR YOUR PARTICULAR SITUATION.
THE PLATFORM WILL DETECT, IDENTIFY, PREVENT, OR RESPOND APPROPRIATELY TO SELF HARM, SUICIDAL THOUGHTS, HARM TO OTHERS, ABUSE, MEDICAL EMERGENCIES, MENTAL HEALTH EMERGENCIES, OR ANY OTHER CRISIS OR SAFETY RISK.
THE PLATFORM CAN REPLACE OR SUBSTITUTE PROFESSIONAL MEDICAL ADVICE, MENTAL HEALTH CARE, THERAPY, COUNSELLING, LEGAL ADVICE, FINANCIAL ADVICE, EMERGENCY SERVICES, HUMAN SUPERVISION, OR IN PERSON SUPPORT.

YOU ACKNOWLEDGE THAT AI SYSTEMS MAY GENERATE CONTENT THAT IS INACCURATE, INCOMPLETE, MISLEADING, OFFENSIVE, UNSUITABLE, OR UNINTENDED. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING ANY OUTPUT GENERATED THROUGH THE PLATFORM BEFORE USING, SHARING, RELYING ON, OR ACTING UPON SUCH OUTPUT.

intellectual property rights
The Platform, Services, website, mobile application, software, source code, object code, models, algorithms, artificial intelligence systems, APIs, databases, designs, interfaces, graphics, logos, trademarks, trade names, service marks, documentation, prompts, workflows, research materials, know-how, business methods, technical processes, and all related intellectual property are owned by or licensed to the Company.
The Company retains all rights, title, and interest in and to its intellectual property, proprietary technology, systems, Services, and any content generated by Ira or any other artificial intelligence feature of the Platform, except to the extent expressly stated otherwise in these Terms.
You are granted only a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the Platform and Services for lawful purposes in accordance with these Terms. No ownership rights or intellectual property rights are transferred to you by your use of the Platform or Services.
You shall not copy, reproduce, modify, adapt, translate, publish, distribute, transmit, display, perform, sell, resell, license, sublicense, lease, rent, commercialise, create derivative works from, or otherwise exploit any part of the Platform, Services, software, models, systems, APIs, AI-generated content, documentation, design, branding, or proprietary technology without the prior written permission of the Company.
You shall not reverse engineer, decompile, disassemble, extract, scrape, crawl, harvest, train on, attempt to derive the source code of, or otherwise attempt to discover or misuse the underlying structure, models, algorithms, prompts, workflows, systems, or technology of the Platform or Services, except to the extent such restriction is prohibited by applicable law.
You shall not use the Company's name, logo, trademark, service mark, trade name, branding, domain name, product name, or any similar mark without the Company's prior written permission.
All feedback, ideas, suggestions, improvements, corrections, reviews, comments, or recommendations provided by you in relation to the Platform or Services may be used by the Company without restriction or compensation. You grant the Company a worldwide, perpetual, irrevocable, royalty-free licence to use, modify, commercialise, and incorporate such feedback into the Platform, Services, products, research, and business operations.
Nothing in these Terms grants you any right, title, licence, or interest in the Company's intellectual property except for the limited right to access and use the Platform and Services as expressly permitted under these Terms.
Any unauthorised use of the Company's intellectual property may result in suspension or termination of your access to the Platform and may also give rise to civil, criminal, or other legal remedies available to the Company under applicable law.

THE COMPANY DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, RELIABILITY, SAFETY, SUITABILITY, OR AVAILABILITY OF ANY INFORMATION, RESPONSE, MESSAGE, VOICE OUTPUT, RECOMMENDATION, SUGGESTION, OR CONTENT GENERATED BY IRA OR ANY OTHER ARTIFICIAL INTELLIGENCE FEATURE OF THE PLATFORM. YOU ACKNOWLEDGE THAT AI-GENERATED CONTENT MAY BE INACCURATE, INCOMPLETE, MISLEADING, UNSUITABLE, OR UNINTENDED.
YOU USE THE PLATFORM AND SERVICES AT YOUR OWN DISCRETION AND RISK. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING ANY AI-GENERATED OUTPUT BEFORE USING, SHARING, RELYING ON, OR ACTING UPON IT. THE COMPANY SHALL NOT BE LIABLE FOR ANY ACTS, OMISSIONS, CONTENT, SERVICES, PRODUCTS, SYSTEMS, FAILURES, OR POLICIES OF ANY THIRD PARTY SERVICE PROVIDER, PLATFORM, API, PAYMENT PROCESSOR, CLOUD PROVIDER, COMMUNICATION SERVICE, DEVICE, NETWORK, OR EXTERNAL WEBSITE USED IN CONNECTION WITH THE PLATFORM.
WHERE LIABILITY CANNOT BE FULLY EXCLUDED UNDER APPLICABLE LAW, THE COMPANY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM, SERVICES, OR THESE TERMS SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO THE COMPANY FOR THE SERVICES IN THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR INR 1,000, WHICHEVER IS LOWER.
NOTHING IN THESE TERMS IS INTENDED TO EXCLUDE OR LIMIT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
restricted and prohibited content
You agree not to use the Platform or Services to create, upload, submit, transmit, request, generate, display, distribute, promote, store, or otherwise make available any content that is unlawful, harmful, abusive, unsafe, exploitative, deceptive, offensive, or otherwise prohibited under these Terms or applicable law.
Without limitation, you shall not use the Platform or Services in connection with any of the following restricted or prohibited content:
Illegal Content: Any content that violates or encourages the violation of any applicable law, rule, regulation, court order, or governmental direction.
Hate Speech and Discrimination: Any content that promotes hatred, discrimination, hostility, exclusion, humiliation, or violence against any person or group based on religion, caste, race, ethnicity, nationality, sex, gender, gender identity, sexual orientation, disability, age, language, region, or any other protected characteristic.
Harassment and Bullying: Any content that threatens, abuses, insults, humiliates, intimidates, stalks, blackmails, doxxes, targets, or harasses any person, including repeated unwanted contact or behaviour intended to cause fear, shame, distress, or reputational harm.
Adult and Pornographic Content: Any pornographic, sexually explicit, obscene, vulgar, or sexually exploitative content, including content intended for sexual gratification or solicitation, except where expressly permitted by the Company under a separate written policy.
Child Sexual Abuse and Exploitation: Any content involving or depicting minors in a sexual, abusive, exploitative, grooming, suggestive, unsafe, or inappropriate manner. This includes child sexual abuse material, sexualised conversations involving minors, attempts to contact or groom minors, or any content that may endanger a child.
Violence and Graphic Harm: Any content that promotes, glorifies, threatens, depicts, instructs, or encourages violence, physical harm, cruelty, torture, assault, murder, abuse, or graphic injury against any person, animal, or group.
Self Harm and Suicide: Any content that encourages, instructs, romanticises, or assists self harm, suicide, eating disorders, dangerous challenges, or any behaviour that may result in serious physical or mental harm.
Terrorism and Extremism: Any content that promotes, supports, praises, recruits for, funds, instructs, or assists terrorism, violent extremism, organised violence, unlawful armed groups, or activities intended to threaten public safety or national security.
Drugs and Controlled Substances: Any content that promotes, sells, facilitates, instructs, or encourages the unlawful use, manufacture, purchase, distribution, or trafficking of drugs, narcotics, controlled substances, intoxicants, or other illegal or restricted substances.
Weapons and Dangerous Activities: Any content that provides instructions, assistance, or encouragement for creating, obtaining, using, or misusing weapons, explosives, harmful chemicals, dangerous devices, or methods intended to cause injury, damage, or unlawful harm.
Fraud, Scams, and Deception: Any content that supports fraud, phishing, impersonation, identity theft, fake reviews, fake testimonials, fake accounts, misleading communications, financial scams, cheating, or any deceptive practice.
Impersonation and Misrepresentation: Any content that falsely represents that you are another person, professional, company, public figure, authority, emergency responder, doctor, therapist, counsellor, or representative of the Company.
Privacy and Confidentiality Violations: Any content that discloses, requests, or misuses personal information, private information, sensitive personal data, passwords, financial information, medical information, confidential records, or information about another person without lawful authority or consent.
Medical, Mental Health, Legal, or Financial Misuse: Any content that uses the Platform as a substitute for professional medical care, mental health care, therapy, counselling, legal advice, financial advice, emergency support, or in person professional assistance.
Emotional Exploitation and Manipulation: Any content or conduct that uses the Platform to manipulate, pressure, emotionally exploit, isolate, coerce, groom, or take unfair advantage of any person, including minors, elderly persons, vulnerable persons, or persons experiencing emotional distress.
Misinformation and Public Harm: Any content that knowingly spreads false, misleading, or harmful information relating to public safety, health, elections, disasters, emergencies, legal rights, financial matters, or other sensitive public-interest issues.
Anti-Social or Socially Harmful Content: Any content that encourages public disorder, communal tension, social hatred, unlawful protests, mob violence, intimidation, exploitation, or behaviour that may harm social harmony, public order, or community safety.
Cybersecurity Abuse: Any content that supports hacking, malware, credential theft, unauthorised access, security bypassing, data scraping, spam, bot activity, phishing, or misuse of digital systems, networks, accounts, or devices.
Intellectual Property Violations: Any content that infringes or misuses copyrights, trademarks, trade secrets, publicity rights, privacy rights, confidential information, or any other rights belonging to the Company or any third party.
Platform Misuse: Any attempt to bypass safety systems, moderation controls, usage limits, access restrictions, security measures, filters, or technical protections of the Platform or Services.
The Company reserves the right, but is not obligated except where required by applicable law, to review, moderate, restrict, remove, disable, preserve, or report any content or activity that the Company reasonably believes violates these Terms, applicable law, third party rights, platform safety, or public interest.
The Company may suspend, restrict, or terminate access to the Platform or Services without prior notice if it reasonably believes that a user has created, requested, shared, or attempted to generate restricted or prohibited content, or has otherwise used the Platform in an unlawful, unsafe, abusive, or harmful manner.
Where required or permitted by law, the Company may preserve records and report suspected illegal activity, child safety risks, threats of harm, security incidents, or other serious violations to law enforcement authorities, regulatory bodies, emergency services, or other appropriate agencies.
Nothing in this section limits the Company's right to take any action necessary to protect users, minors, vulnerable persons, the public, the Platform, the Company, or any third party from harm, abuse, unlawful activity, or misuse of the Services.
notice and pre-proceeding resolution
If you have any complaint, claim, dispute, grievance, or notice relating to the Platform, Services, these Terms, the Privacy Policy, or your use of the Platform, you agree to first send a written notice to the Company before initiating any legal, arbitral, consumer, regulatory, or other formal proceeding, except where immediate action is required under applicable law.
Your notice must clearly mention your full name, registered email address, contact details, account details if applicable, the nature of the complaint or dispute, relevant facts, supporting documents if any, and the specific relief or resolution sought by you.
A notice to the Company may be served by email to the official legal or support email address provided on the Platform, or by registered post, speed post, or recognised courier service to the registered office or principal business address of the Company as displayed on the Platform or in these Terms.
The Company may serve notices to you by email, in-app notification, account notification, SMS, or by post or courier to the contact details provided by you at the time of registration or updated by you from time to time. You are responsible for keeping your contact details accurate and updated.
A notice sent by email shall be deemed received on the next business day after transmission, unless the sender receives an automated delivery failure message. A notice sent by registered post, speed post, or courier shall be deemed received on the date of delivery recorded by the postal or courier service.
The parties shall make good faith efforts to resolve the complaint or dispute for a period of at least thirty 30 days from the date on which the notice is received by the other party. During this period, both parties shall reasonably cooperate and provide information necessary for resolving the matter.
If the complaint or dispute is not resolved within thirty 30 days from receipt of the notice, either party may proceed with such remedies as may be available under these Terms and applicable law.
Nothing in this section shall prevent either party from seeking urgent injunctive relief, interim relief, emergency relief, reporting unlawful activity to competent authorities, contacting emergency services, approaching consumer authorities, or exercising any right or remedy that cannot be restricted under applicable law.
Failure by the Company to respond to a notice within the thirty 30 day period shall not be treated as an admission of liability, waiver of rights, or acceptance of the claims made in the notice.
The notice requirement under this section is intended to provide both parties an opportunity to resolve disputes amicably and shall not be interpreted as limiting, excluding, or waiving any legal right that cannot be limited, excluded, or waived under applicable law.

breach and termination
You agree that you shall be solely responsible and liable for your use of the Platform and Services and for any violation of these Terms, the Privacy Policy, applicable laws, third party rights, or any other policies or guidelines issued by the Company from time to time.
A breach of these Terms may include, without limitation, misuse of the Platform, submission or generation of restricted or prohibited content, infringement of intellectual property rights, violation of privacy rights, harassment, abusive conduct, impersonation, fraudulent activity, unauthorised access, reverse engineering, bypassing safety systems, non-payment of applicable fees, misuse of AI-generated content, or any conduct that the Company reasonably considers unlawful, unsafe, harmful, abusive, or damaging to the Platform, the Company, other users, or any third party.
If the Company reasonably believes that you have violated these Terms or applicable law, the Company may, without prior notice and at its sole discretion, take one or more of the following actions:
Suspend, restrict, or terminate your account or access to the Platform or Services.
Disable, remove, restrict, or block access to any content, output, feature, subscription, plan, tool, or service.
Refuse to provide current or future access to the Platform or Services.
Cancel, pause, or restrict any active subscription, paid plan, credits, usage balance, trial access, or promotional benefit.
Preserve records, logs, content, or account information where required or permitted by law.
Report unlawful, harmful, abusive, or dangerous conduct to law enforcement authorities, regulators, emergency services, payment processors, platform providers, or other appropriate agencies.
Take any other action reasonably necessary to protect the Company, the Platform, users, minors, vulnerable persons, third parties, public safety, or legal rights.
You acknowledge that any violation of these Terms may cause harm to the Company, its users, or third parties. You shall be responsible for all losses, damages, claims, complaints, penalties, costs, expenses, liabilities, and legal fees arising out of or relating to your breach of these Terms, misuse of the Platform, unlawful conduct, infringement of rights, or violation of applicable law.
In the event that your account, subscription, paid plan, credits, access, or Services are suspended, restricted, cancelled, or terminated due to your breach of these Terms, violation of law, misuse of the Platform, non-payment, or other prohibited conduct, you shall not be entitled to any refund, credit, compensation, extension, transfer, or reimbursement for any amount paid, unused plan period, unused credits, promotional benefit, or remaining service value, except where a refund is mandatorily required under applicable law.
Termination or suspension of your account shall not affect any rights, remedies, liabilities, or obligations that accrued before the date of termination or suspension. The Company may retain certain information after termination where required or permitted by law, including for legal compliance, dispute resolution, fraud prevention, safety, security, enforcement, audit, and legitimate business purposes, subject to the Privacy Policy.
Upon termination of your account, your right to access and use the Platform and Services shall immediately cease. The Company may delete, disable, restrict, or retain your account data, user content, AI-generated outputs, usage history, and related records in accordance with the Privacy Policy, applicable law, and internal retention practices.
The Company may also terminate, suspend, modify, discontinue, or restrict the Platform, Services, features, plans, or access at any time for operational, technical, legal, business, security, safety, or regulatory reasons. Where reasonably practicable and required by applicable law, the Company may provide notice of such changes.
Any provisions of these Terms which by their nature should survive termination shall continue to remain in effect, including provisions relating to intellectual property rights, content ownership, restricted content, acceptable use, disclaimers, limitation of liability, indemnity, dispute resolution, notices, refunds, and miscellaneous terms.
Nothing in this section shall limit or exclude any right, remedy, liability, or obligation that cannot be limited or excluded under applicable law.
refunds and cancellations
All payments made for the Platform and Services, including subscription fees, paid plans, usage credits, add-ons, trial conversions, renewal charges, and payments processed through autopay mandates, payment gateways, app stores, UPI, cards, net banking, wallets, or any other payment method, are final and non-refundable, except where a refund is required under applicable law or expressly approved by the Company in writing.
You may cancel your subscription at any time through your account settings, payment provider, app store, bank mandate settings, or any other method made available by the Company. Cancellation will stop future renewals, but your access to paid Services will continue until the end of the then-current billing period, unless otherwise stated by the Company or required by applicable law.
No prorated refund, partial refund, credit, extension, transfer, or reimbursement shall be issued for any unused portion of a subscription period, unused credits, unused features, promotional benefits, discounted plans, trial periods, or partially used Services.
If you cancel after a renewal payment has already been processed, such renewal payment shall remain final and non-refundable, except where a refund is required under applicable law or expressly approved by the Company in writing.
You are responsible for cancelling your subscription or autopay mandate before the next billing date if you do not wish to be charged for the next billing cycle. The Company shall not be liable for charges incurred due to your failure to cancel the subscription, payment authorisation, or autopay mandate before renewal.
Where payments are processed through third party platforms, payment gateways, banks, card networks, UPI autopay, app stores, or other payment service providers, the processing, cancellation, refund timeline, and chargeback handling may also be subject to the terms, policies, and technical processes of such third parties.
If your account, subscription, paid plan, access, credits, or Services are suspended, restricted, cancelled, or terminated due to breach of these Terms, violation of law, misuse of the Platform, restricted content, fraudulent activity, payment failure, chargeback abuse, or any other prohibited conduct, you shall not be entitled to any refund, credit, compensation, extension, transfer, or reimbursement for any amount paid or unused Service value, except where a refund is mandatorily required under applicable law.
The Company may refuse, reverse, suspend, or cancel any transaction that appears to be fraudulent, unauthorised, suspicious, technically erroneous, in violation of these Terms, or in violation of applicable law or payment provider requirements.
In case of duplicate payment, failed transaction where the amount has been debited, payment gateway error, bank error, UPI error, card network error, app store error, or any similar technical payment issue, the Company shall not be obligated to provide any discretionary refund. However, the Company may verify the transaction and cooperate with the relevant payment service provider, bank, card network, UPI system, app store, or payment gateway for any reversal, correction, chargeback, or adjustment that is mandatorily required under applicable law or the rules of such payment provider.
Any such reversal, correction, chargeback, or adjustment shall not be treated as a refund granted by the Company, but as a technical or legal payment correction processed through the relevant third party payment system. The timeline, eligibility, approval, and processing of such correction shall depend on the applicable payment provider, bank, card network, UPI system, app store, or payment gateway.
The Company may change subscription fees, plan features, billing cycles, trial terms, renewal terms, or refund rules from time to time. Where required by applicable law, the Company may provide notice of material changes. Continued use of the Platform or Services after such changes become effective shall constitute acceptance of the updated terms.
Nothing in this Refunds and Cancellations section shall limit or exclude any refund, remedy, consumer right, or liability that cannot be limited or excluded under applicable law.
user duties and obligations
By accessing, visiting, registering on, communicating with, or using the Platform, Website, application, Services, AI features, content generation tools, voice features, paid plans, free services, or any other service provided by the Company, you agree to comply with these Terms, the Privacy Policy, applicable laws, third party rights, and all policies, instructions, notices, or guidelines issued by the Company from time to time.
You agree that your right to use the Platform and Services is personal to you and is subject to your continued compliance with these Terms. You shall be solely responsible for your use of the Platform, your account activity, your submitted content, your prompts, your communications, your reliance on AI-generated outputs, and all consequences arising from your use of the Services.
You agree and undertake that you shall:
Provide true, current, complete, and accurate information while registering, subscribing, purchasing, communicating with the Company, or using any feature of the Platform.
Maintain and promptly update your account information so that it remains true, current, complete, and accurate.
Keep your login credentials, passwords, OTPs, account access, and payment details confidential and secure.
Immediately notify the Company if you suspect any unauthorised access, misuse, breach, or security issue relating to your account or the Platform.
Use the Platform and Services only for lawful, personal, permitted, and responsible purposes.
Use AI-generated content responsibly and independently verify important information before relying on, publishing, sharing, or acting upon such content.
Acknowledge that the Platform is an AI companion tool only and not a human, doctor, therapist, counsellor, emergency responder, legal advisor, financial advisor, or substitute for professional care or human support.
Seek immediate help from emergency services, qualified professionals, trusted adults, or appropriate helplines in situations involving self harm, suicidal thoughts, harm to others, abuse, violence, medical emergencies, mental health emergencies, or any immediate or potential danger.
Ensure that you have all necessary rights, permissions, licences, and consents before submitting, uploading, sharing, or generating any content through the Platform.
Use the Platform in a respectful manner and not abuse, threaten, harass, exploit, manipulate, deceive, impersonate, or harm any person, user, employee, representative, service provider, or third party.
Comply with all payment obligations, subscription terms, refund policies, usage limits, credit rules, and billing requirements applicable to any paid service or plan.
You further agree and undertake that you shall not:
Use the Platform or Services in any manner that violates these Terms, the Privacy Policy, applicable law, third party rights, public order, morality, or public safety.
Submit, request, generate, upload, publish, transmit, or share any content that is false, misleading, defamatory, obscene, abusive, hateful, discriminatory, threatening, harassing, violent, sexually explicit, exploitative, harmful, unlawful, or otherwise prohibited.
Use the Platform to generate, promote, assist, or encourage self harm, suicide, harm to others, abuse, violence, terrorism, extremism, child exploitation, sexual exploitation, illegal drugs, weapons, fraud, scams, hacking, or any other unlawful or unsafe activity.
Use the Platform as an emergency service, crisis service, medical service, mental health service, therapy service, counselling service, legal service, financial service, or substitute for qualified professional advice.
Use the Platform to emotionally exploit, groom, pressure, isolate, manipulate, or take unfair advantage of any person, including minors, elderly persons, vulnerable persons, or persons experiencing distress.
Use the Platform to create or distribute content involving minors in a sexual, abusive, exploitative, unsafe, or inappropriate manner.
Impersonate any person, professional, company, public figure, authority, doctor, therapist, counsellor, emergency responder, employee, representative, or agent of the Company.
Submit, upload, disclose, request, or misuse personal data, sensitive personal information, medical information, financial information, passwords, private records, confidential information, or information relating to another person without lawful authority and consent.
Post, upload, transmit, or make available any content that infringes or violates any copyright, trademark, trade secret, patent, privacy right, publicity right, confidentiality obligation, contractual obligation, or other proprietary right of the Company or any third party.
Copy, reproduce, sell, resell, license, sublicense, distribute, commercially exploit, scrape, crawl, harvest, train on, or misuse any part of the Platform, Services, AI-generated content, models, software, APIs, systems, prompts, workflows, documentation, or proprietary technology without the Company's prior written permission.
Reverse engineer, decompile, disassemble, extract, modify, bypass, interfere with, or attempt to discover the source code, models, algorithms, prompts, workflows, safety systems, security features, or technical structure of the Platform or Services.
Upload, transmit, introduce, or distribute viruses, malware, corrupted files, harmful code, bots, scripts, worms, spyware, or any other software or instruction that may damage, disrupt, overload, monitor, interfere with, or compromise the Platform, Services, accounts, devices, networks, or data.
Send unsolicited messages, spam, junk mail, chain letters, advertisements, promotional materials, phishing messages, fake reviews, fake testimonials, or deceptive communications through or in connection with the Platform.
Collect, store, scrape, or misuse usernames, email addresses, phone numbers, account details, personal information, or other data of users, employees, service providers, or third parties without lawful authority.
Attempt to gain unauthorised access to the Platform, Services, servers, accounts, databases, systems, networks, payment systems, or any restricted area of the Company.
Interfere with, disrupt, damage, burden, or impair the operation, security, availability, integrity, or performance of the Platform or Services.
Misrepresent your age, identity, consent, authority, eligibility, affiliation, location, or purpose for using the Platform or Services.
Use the Platform or Services in a manner that may damage the reputation, goodwill, business, systems, users, employees, service providers, licensors, partners, or rights of the Company or any third party.
You shall be responsible for all acts, omissions, content, prompts, outputs, communications, payments, losses, claims, damages, penalties, costs, and liabilities arising from or relating to your use of the Platform, your account, your breach of these Terms, your violation of applicable law, your infringement of third party rights, or your misuse of the Services.
The Company reserves the right to suspend, restrict, terminate, or refuse access to the Platform or Services, remove or disable content, preserve records, report unlawful or harmful conduct, or take any other action permitted under these Terms or applicable law if the Company reasonably believes that you have violated your duties and obligations.
Nothing in this section limits or excludes any duty, right, remedy, liability, or obligation that cannot be limited or excluded under applicable law.
governing law, jurisdiction and dispute resolution
These Terms, the Privacy Policy, your use of the Platform and Services, and any dispute, claim, complaint, or proceeding arising out of or relating to the Platform, Services, AI-generated content, payments, subscriptions, account access, or these Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
Subject to the dispute resolution process set out below and subject to applicable law, the courts and tribunals located at New Delhi, India shall have exclusive jurisdiction over all disputes, claims, complaints, or proceedings arising out of or relating to these Terms, the Privacy Policy, the Platform, or the Services.
Before initiating any legal, arbitral, consumer, regulatory, or other formal proceeding, the party raising the dispute shall first send a written notice to the other party in accordance with the Notice section of these Terms. The notice shall clearly describe the nature of the dispute, relevant facts, supporting documents if any, and the specific relief or resolution sought.
The parties shall make good faith efforts to resolve the dispute amicably for a period of at least thirty 30 days from the date on which the notice is received by the other party. During this period, the parties shall reasonably cooperate and attempt to resolve the matter through discussion, clarification, internal review, or customer support escalation.
If the dispute is not resolved within thirty 30 days from receipt of the notice, the parties may, by mutual agreement, attempt to resolve the dispute through mediation or any other amicable settlement method before initiating formal proceedings.
Subject to applicable law, any dispute, controversy, or claim arising out of or relating to these Terms, the Privacy Policy, the Platform, the Services, payments, subscriptions, AI-generated content, or your use of the Platform shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time.
The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties. If the parties are unable to mutually agree on the appointment of the sole arbitrator within thirty 30 days from the date on which arbitration is invoked, the arbitrator shall be appointed in accordance with the Arbitration and Conciliation Act, 1996.
The seat and venue of arbitration shall be New Delhi, India. The arbitration proceedings shall be conducted in the English language. The award passed by the arbitrator shall be final and binding on the parties, subject to remedies available under applicable law.
The costs of arbitration, including arbitrator fees, administrative costs, and legal costs, shall be borne in the manner determined by the arbitrator, unless otherwise required under applicable law.
Nothing in this section shall prevent the Company from seeking urgent interim, injunctive, equitable, or protective relief before any court or authority of competent jurisdiction in relation to intellectual property infringement, unauthorised access, security threats, misuse of the Platform, breach of confidentiality, unlawful conduct, data misuse, or any matter requiring urgent protection.
Nothing in these Terms shall be interpreted as excluding, restricting, or waiving any right, remedy, jurisdiction, liability, or legal protection that cannot be excluded, restricted, or waived under applicable law.
If any part of this dispute resolution section is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue to remain valid and enforceable to the maximum extent permitted under applicable law.

Entire Agreement: These Terms, together with the Privacy Policy, applicable guidelines, disclaimers, subscription terms, and any additional terms referenced herein, constitute the entire agreement between you and the Company regarding your use of the Platform and Services.
Severability: If any provision of these Terms is held to be invalid, illegal, void, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be interpreted or replaced to the maximum extent permitted by law in a manner that most closely reflects the original intention of the provision.
No Waiver: Any failure or delay by the Company in exercising any right, power, or remedy under these Terms shall not operate as a waiver of such right, power, or remedy. Any waiver must be made in writing and shall apply only to the specific instance for which it is given.
Assignment: You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of the Company. The Company may assign, transfer, or delegate its rights and obligations under these Terms to any affiliate, successor, acquirer, investor, or entity involved in a merger, acquisition, restructuring, sale of assets, or business transfer.
Force Majeure: The Company shall not be liable for any delay, failure, interruption, or inability to perform its obligations due to events beyond its reasonable control, including acts of God, natural disasters, internet failures, telecom failures, cyberattacks, power outages, war, terrorism, riots, labour disputes, government action, regulatory changes, pandemic, technical failures, or failure of third party service providers.
Changes to Terms: The Company may update, modify, or replace these Terms from time to time. The updated Terms shall be made available on the Platform. Where required by applicable law, the Company may provide notice of material changes. Continued use of the Platform after the updated Terms become effective shall constitute acceptance of the updated Terms.
Survival: Any provisions of these Terms which by their nature should survive termination shall continue to remain in effect, including provisions relating to intellectual property, content rights, disclaimers, limitation of liability, indemnity, dispute resolution, notices, and miscellaneous terms.
Relationship of Parties: Nothing in these Terms shall be deemed to create any partnership, joint venture, employment, agency, fiduciary, medical, therapeutic, counselling, or professional advisory relationship between you and the Company.
